1. Company Information
These Terms and Conditions govern the use of services provided by Digipi Ltd, a company registered in England and Wales. Our registered office address and company registration number are available upon request by emailing info@digipi.uk.
By engaging our services or using our website at digipi.uk, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. Services
Digipi Ltd provides digital product development services including, but not limited to:
- Web design and development
- Mobile application development
- AI automation tools and chatbot development
- UI/UX design
- Cloud infrastructure and DevOps
- Search engine optimisation (SEO)
- Startup MVP development
- Ongoing technical support and maintenance
The specific scope, deliverables, timelines, and fees for each engagement are agreed upon in writing between Digipi Ltd and the client prior to commencement of work via a project proposal or contract.
3. Engagement & Project Agreements
All projects begin with a written agreement (proposal, statement of work, or contract) that outlines the scope, deliverables, timeline, and payment schedule. Work will not commence until the agreement is signed and the agreed deposit is received.
Any changes to the agreed scope (scope creep) will be discussed with the client and may result in additional charges and timeline adjustments. We will always obtain written approval before proceeding with out-of-scope work.
4. Payment Terms
- Projects are typically invoiced with a 50% deposit before work begins and the remaining 50% upon completion, unless otherwise agreed in writing.
- Invoices are due within 14 days of the invoice date unless otherwise stated.
- For ongoing retainer or Growth Partner engagements, monthly invoices are issued at the beginning of each month.
- Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at a rate of 8% above the Bank of England base rate.
- We reserve the right to suspend work if invoices remain unpaid beyond 30 days.
5. Refund Policy
We are committed to delivering high-quality work. Our refund policy is as follows:
- Deposits: Deposits are non-refundable once work has commenced, as they cover initial discovery, planning, and resource allocation.
- Milestone-based payments: Payments made upon milestone completion are non-refundable for completed milestones.
- Project cancellation by client: If a client cancels a project after work has begun, they are liable for payment for all work completed up to the cancellation date. A final invoice will be issued for hours or deliverables completed.
- Project cancellation by Digipi: In the unlikely event that Digipi Ltd is unable to complete a project for reasons within our control, we will refund any amounts paid for work not yet delivered.
- Quality disputes: If you are not satisfied with a deliverable, please notify us in writing within 7 days of delivery. We will work to resolve the issue through revisions as agreed in the project scope. Refunds are not issued for subjective design or aesthetic preferences that differ from the agreed brief.
- Retainer services: Monthly retainer fees are non-refundable for the month in which services have been provided. Retainers can be cancelled with 30 days' written notice.

6. Intellectual Property
Upon receipt of full payment, the client will own all intellectual property rights in the final deliverables created specifically for them under the project agreement. This includes custom code, designs, and content created by Digipi Ltd for the client.
Digipi Ltd retains the right to:
- Use third-party libraries, frameworks, and open-source tools which remain subject to their own licences
- Display completed work in our portfolio and marketing materials (unless the client requests confidentiality in writing)
- Reuse general methodologies, knowledge, and non-client-specific code in other projects
7. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the engagement. This obligation survives termination of the agreement. Digipi Ltd will not share client data with third parties without express written consent, except where required by law.
8. Client Responsibilities
The client agrees to:
- Provide accurate and complete information required for the project
- Respond to requests for feedback, content, or approvals within the agreed timelines
- Ensure all content and materials provided to Digipi Ltd do not infringe third-party intellectual property rights
- Make payments on time as agreed
Delays caused by the client's failure to provide required materials or approvals may result in timeline extensions and are not the responsibility of Digipi Ltd.
9. Limitation of Liability
To the fullest extent permitted by law, Digipi Ltd's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question during the 12 months preceding the claim.
We are not liable for:
- Indirect, consequential, or special damages
- Loss of profits, data, revenue, or business opportunities
- Damage caused by third-party services, APIs, or hosting providers
- Issues arising from client modifications to delivered code after handover
10. Warranties
Digipi Ltd warrants that services will be performed with reasonable skill and care in accordance with professional standards. We will endeavour to deliver projects within agreed timelines, however timelines may be affected by factors outside our control, including third-party delays, client response times, and technical dependencies.
We do not warrant that deliverables will be entirely free from bugs or errors. We will correct material defects reported within 30 days of delivery at no additional charge.
11. Termination
Either party may terminate a project agreement with 30 days' written notice. Upon termination:
- The client will pay for all work completed up to the termination date
- Digipi Ltd will deliver all completed work product to the client
- Any unpaid invoices become immediately due
12. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
